1. Introduction and Acceptance

1.1 These Terms and Conditions (“Terms“) govern your access to and use of the website located at https://salescoreglobal.com (the “Site“) and any related online applications, portals, and services made available through it (together, the “Services“). The Site and Services are operated by SalesCore Global Solutions Pte. Ltd., a company incorporated in the Republic of Singapore (UEN 202503669W), with its registered office at 77 High Street, #10-12B High Street Plaza, Singapore 179433 (“SalesCore“, “we“, “us“, or “our“).

1.2 By accessing or using the Site or Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and “you” refers to that entity. If you do not agree to these Terms, you must not access or use the Site or Services.

1.3 Relationship to commercial agreements. These Terms govern general use of the Site and the SalesCore platform on an informational and evaluation basis. Where you subscribe to the SalesCore platform as a paying customer, your use of the platform is governed by the separate SalesCore Subscription Agreement (or Master Services Agreement / order form) entered into between you and SalesCore, which sets out the applicable licence scope, fees, payment terms, service levels, and support. In the event of any conflict between these Terms and a signed Subscription Agreement, the Subscription Agreement prevails in respect of the subscribed Services.

1.4 We may revise these Terms from time to time. The current version is identified by the “Last revised” date above and takes effect when published on the Site. Your continued use of the Site after any revision constitutes acceptance of the revised Terms. We recommend you review these Terms periodically.

1.5 The Site is intended for business and professional users who are at least 18 years of age. It is not directed at consumers or to any person in a jurisdiction where such access or use would be contrary to applicable law.

2. The Services

2.1 SalesCore provides field sales automation and related enterprise software delivered on a Software-as-a-Service (“SaaS“) basis, together with associated modules, integrations, updates, and support as described on the Site or in an applicable Subscription Agreement.

2.2 We may update, enhance, or modify the Site and the SalesCore platform from time to time to reflect changes to our products, technology, user requirements, security, or business priorities. Material changes affecting subscribed Services are governed by the applicable Subscription Agreement.

2.3 Certain features, modules, or capabilities (including, without limitation, business intelligence tools, dashboards, or advanced add-ons) may be offered as optional paid add-ons and are not included by default in any plan unless expressly stated in your Subscription Agreement or order form.

3. Acceptable Use

3.1 You may access and use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to:

use the Site or Services in any way that breaches any applicable law or regulation;
attempt to gain unauthorised access to the Site, Services, or any related systems, networks, or servers;
circumvent, disable, or interfere with security-related features of the Site or Services, or any usage or access limitations;
copy, reproduce, republish, distribute, sell, licence, or otherwise commercially exploit any part of the Site or its content except as expressly permitted;
decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of any software forming part of the Site or Services, except to the extent expressly permitted by law;
introduce or transmit any viruses, malware, or other malicious or harmful code;
use any robot, scraper, data-mining, or automated means to access, extract, or collect data from the Site without our prior written consent;
interfere with, disrupt, or place an unreasonable burden on the Site, Services, or connected infrastructure;
impersonate any person or entity, or misrepresent your affiliation with any person or entity;
use the Site or Services to develop, or in connection with the development of, a competing product or service; or
harass, abuse, threaten, or harm any of our personnel, agents, or other users.

3.2 We reserve the right to investigate and take appropriate action, including suspending or terminating access, against any person who, in our reasonable determination, breaches this Section 3.

4. Intellectual Property

4.1 The Site, the SalesCore platform, and all associated software, source code, databases, functionality, designs, text, graphics, images, audio, video, and other content (together, “Our Content“) are owned by or licensed to SalesCore and are protected by copyright, trade mark, and other intellectual property laws.

4.2 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site and Our Content for your internal business evaluation and, where applicable, in accordance with your Subscription Agreement. All rights not expressly granted are reserved.

4.3 Except as expressly permitted in these Terms or an applicable Subscription Agreement, no part of the Site, Services, or Our Content may be copied, reproduced, modified, distributed, or otherwise exploited without our prior written consent.

4.4 “SalesCore” and associated logos and product names are trade marks of SalesCore. You may not use them without our prior written consent.

5. Customer Data and Privacy

5.1 Our collection and use of personal data through the Site is described in our Privacy Policy, available at https://salescoreglobal.com/privacy-policy/, which forms part of these Terms. By using the Site, you acknowledge that personal data will be processed in accordance with that policy, and you warrant that any data you provide is accurate.

5.2 Where you subscribe to the SalesCore platform, the handling of customer data, data ownership, security, and any applicable data-protection obligations are governed by the data-protection provisions of your Subscription Agreement.

6. Availability and Site Management

6.1 We make reasonable efforts to keep the Site available but do not warrant that it will be available uninterrupted, secure, or error-free. We may suspend, withdraw, or restrict availability of all or part of the Site for business or operational reasons, including maintenance.

6.2 You are responsible for configuring your own information technology and systems to access the Site, and for maintaining your own appropriate security and virus-protection measures.

6.3 The content on the Site is provided for general information only and does not constitute advice on which you should rely. While we make reasonable efforts to keep information current, we make no warranty that Our Content is accurate, complete, or up to date, and we may correct errors or update information at any time without notice.

7. Disclaimers

7.1 The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we exclude all warranties, conditions, and representations, whether express or implied, in connection with the Site and your use of it, including any implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement.

7.2 Warranties in respect of the subscribed SalesCore platform, if any, are set out exclusively in the applicable Subscription Agreement and not in these Terms.

8. Limitation of Liability

8.1 Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

8.2 Subject to Section 8.1, and to the fullest extent permitted by applicable law, we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any:

loss of profits, sales, business, or revenue;
business interruption;
loss of anticipated savings;
loss of business opportunity, goodwill, or reputation; or
indirect or consequential loss or damage,

arising out of or in connection with your use of, or inability to use, the Site or your reliance on any content on it.

8.3 Subject to Section 8.1, and to the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with the Site and these Terms shall be limited to the amount (if any) actually paid by you to us for access to the Site during the three (3) month period immediately preceding the event giving rise to the liability. Where no such amount has been paid, we shall have no monetary liability to you under these Terms. Liability in respect of the subscribed SalesCore platform is governed exclusively by the liability provisions of the applicable Subscription Agreement.

9. Indemnity

You agree to indemnify and hold harmless SalesCore and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and reasonable expenses arising out of your breach of these Terms or your misuse of the Site or Services, to the extent permitted by applicable law.

10. Term and Termination

10.1 These Terms apply while you access or use the Site or Services.

10.2 We may, at our sole discretion and without liability, suspend or terminate your access to the Site or Services (including by blocking IP addresses) if we reasonably determine that you have breached these Terms or any applicable law, or to protect the Site, Services, or other users.

10.3 Provisions which by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) shall survive.

11. Force Majeure

We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from causes beyond our reasonable control, including natural disasters, war, civil unrest, epidemics or pandemics, failure of utilities or telecommunications, or governmental action.

12. General

12.1 Electronic communications. By using the Site, sending us emails, or completing online forms, you consent to receive communications from us electronically, and you agree that electronic communications, agreements, and records satisfy any legal requirement that such communications be in writing. You consent to the use of electronic signatures and records.

12.2 Entire agreement. These Terms, together with any documents expressly incorporated by reference and any applicable Subscription Agreement, constitute the entire agreement between you and us regarding your use of the Site.

12.3 No waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.

12.4 Assignment. We may assign or transfer our rights and obligations under these Terms. You may not assign or transfer yours without our prior written consent.

12.5 Severability. If any provision of these Terms is found to be unlawful or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

12.6 No partnership. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and us.

12.7 Third parties. A person who is not a party to these Terms has no right to enforce any of its provisions.

12.8 Governing law and jurisdiction. These Terms, their subject matter, and their formation (including any non-contractual disputes or claims) are governed by the laws of the Republic of Singapore. The parties submit to the exclusive jurisdiction of the courts of Singapore, save that SalesCore may bring proceedings to protect its intellectual property or seek injunctive relief in any competent jurisdiction.

These Terms govern general use of the SalesCore website and platform. Enterprise customers are additionally subject to a separate SalesCore Subscription Agreement, which governs the paid service relationship, including licence scope, fees, payment terms, service levels, support, data protection, and suspension.
